GLOBAL TALKER RENTAL AGREEMENT

1. ESTABLISHMENT OF A RENTAL CONTRACT The person wishing to receive services provided by Global Talker (hereafter referred to as "the user") understands this agreement and undertakes to apply to BARTERLINK CO., LTD. or an agent designated by the former (hereafter referred to as "this company"), in order to receive services. When this company deems application suitable, and upon completion of the application process, a rental contract (hereafter referred to as "the contract") shall exist between the user and this company.

2. PERIOD OF RENTAL The rental period is the period set out in the application form. This period shall include time required to deliver rental items by courier or bike express (with the exception of A-type goods). Dispatch and return of rental items shall be done within this company's business hours. Business hours may vary according to the particular office, so please check ahead. Any charges incurred when sending items or transferring payments shall be born by the user.

3. EXTENSION /OVERDUE RETURN /CONTRACT CANCELLATION If notification is received at least 3 days prior to the last day of the rental period, a maximum extension period of one week is possible once only. The stipulated extension fee will be charged upon return of rental items. However, in some cases it may be required that the user first settle outstanding charges and then re-conclude a rental contract. In case of overdue return with no prior notification, the line will be disconnected within 3 days after the due date of return, and the stipulated overdue return charge will be imposed. Cancellation after completing the application process is possible up until the time of hand-over of rental items. In case of cancellation, 30% of the rental charge will be retained by this company as a cancellation fee. No cancellations or refunds will be made after rental items have been handed over.

4. CHARGES /PAYMENT Basic rental charges, optional charges, deposits and insurance costs shall all be paid at the time of rental and call charges as well as extra or renewal charges (eg. Extension charges) shall be paid when rental items are returned. The deposit will be returned at the time of final settlement. Also,in case of overdue payment, an overdue penalty charge in the form of an 18% real interest charge (based on a 365 year) will be applied.

5. COMPULSORY CANCELLATION OF CONTRACT This company reserves the right to cancel the contract with no notification to the user if it deems that any of the following conditions apply to the user : 1. the user falsified details in the application form 2. the user failed to make required payments 3. the user's actions have included those out- lined in the prohibited behavior listed below 4. there has been a deterioration in the user's credit- worthiness.

6. PROHIBITED BEHAVIOUR FOR USERS (1)Handing over or lending rental items to a third party (2)Making collect calls (in case such calls are made, a contract infringement penalty of 10,000 Yen and an amount equal to 4 times the charge of the calls made will be imposed) (3)Canceling or changing a rental phone's number (4)Printing call numbers on items publicly available.

7. USER'S OBLIGATIONS The user must contact this company promptly in any of the following circumstances. In case the user fails to do so, this company will accept no responsibility whatever for damages incurred. Also,in the case of 2. outlined below, the user is obliged to reimburse this company to the stipulated amount.
(1)There is a change in the address, contact number or other details supplied in the rental application form .
(2)Rental items are stolen, lost or damaged or not returned after cancellation of the contract.
(3)Rental items cease to function properly.

8. OTHER The user undertakes to enter into a contract having understood the following. (1)Cellularphones and pagers retain the same call numbers during each rental (2)Cellularphones are wireless and their signals can be intercepted (3)Cellularphones may not be able to be used in certain places, even if they are included in the phone's service area (4)In case of return of rental items by courier, it will be assumed that the user has checked the all point total (5)As they are electronic devices, even with normal use phones may malfunction or be unable to send or receive signals due to line congestion (6)Due to differing degrees of compatibility, phones may not be able to connect with certain other types of phone (7)In case of damages incurred as a result of .1-.6 above, this company will accept no responsibility whatever.

9. COURT SETTLEMENT In case of legal action between the two parties, settlement shall take place at the Tokyo Regional Court.
